Liability insurance for professionals (E&O), and directors and officers (D&O) is structured and operates differently from typical general liability insurance. This seminar will explore legal issues affecting both underwriting and claims, including the border between CGL and E&O coverages in the construction context; key drivers for E&O and D&O claims; control of the defence and allocation of defence costs; and a review of recent cases of note.

SEMINAR OBJECTIVES

 

  • Review key concepts of claims made and reported liability policies such as wrongful acts, loss, claims, conditions precedent, and notice applicable to both E&O and D&O policies
  • Outline extent of coverage for “professional services” under CGL and E&O policies for contractors and consultants
  • Discuss professionals’ contractual limitations of liability and aggregation clauses
  • Discuss directors’ liability for emerging risks including cyber and marijuana
  • Provide a summary of key trends and legal developments affecting E&O and D&O insurance
