Travelers Guarantee Company of Canada is providing broader coverage for directors and officers of Canadian publicly traded companies in one endorsement.
Travelers Executive Choice CanadianEdge is for Canadian public companies with a market capitalization of Cdn$1 billion or less.
In addition to the protection offered in its public D&O liability policy, the Travelers endorsement offers the following additional protections:
• Cdn$1 million excess directors or officers individual coverage per policy period;
• Cdn$1 million employed lawyers coverage per policy period;
• expanded policy definitions;
• amended policy exclusions;
• pollution exclusion carve backs for Side A claims brought anywhere in the world on account of a security holder derivative action or a securities claim;
• defence costs coverage for Side A pollution claims brought anywhere in the world;
• guaranteed renewal clause;
• non-rescindable Side A, B and C coverage;
• automatic acquisition threshold invoked at 30% of total assets;
• perpetual run-off for former subsidiaries while policy is in force; and
• advancement of defence costs where the company fails or refuses to indemnify.
